Photography Guide and Agreement
For purposes of this agreement guide. Shade will be referred to as the “Photographer”. The individual receiving service and/or accepting terms will be referred to as “Client”. The terms below describe waiver of liability and additional information for the Client's session. Please be sure to read the information carefully.
PAYMENT: A non-refundable session fee of $100.00 must be paid in full in order to reserve a date agreed upon by the Client and the Photographer. A deposit payment must be made electronically using Square/Cash App, PayPal, Zelle, Venmo, or Apple Pay unless otherwise instructed. Session fees are subject to current pricing & cover the time and talent needed to capture your photos. Portrait sessions are booked according to the date agreed upon. The Photographer is not obligated to keep the Client's images on file after this timeframe has passed. Pricing is adjusted periodically and future orders will be charged at the current prices at the time the order is placed. Full payment of service must be received prior to delivery of images.
CANCELLATIONS & RESCHEDULING: If the photography services are rescheduled or canceled for any reason, the deposit is non-refundable and only transferable at the Photographer's discretion. If the Client is feeling ill, please contact to reschedule at least 24 hours before your session. Same day cancellations or absence of attendance will be subject to an additional 25% fee of final payment amount. If the Photographer is unable to perform the session due to illness, inclement weather, emergencies, acts of God, & other causes beyond their control, the Client shall be allowed to reschedule at the Photographer's discretion or the Photographer will refund all monies paid. The Photographer will assume no further liability in regards to this agreement. Any Client who is late to a session will have the minutes late subtracted from the duration of their session at the discretion of the Photographer.
TRAVEL & ADDITIONAL FEES: The Client is responsible for covering any additional fees and costs related to location choice outside 15 miles of the studio location (mileage, plane tickets, hotels, admission fees, parking, etc.). Travel up to 10 miles from 02940 is included. There may be an additional travel fee for any location outside mile radius of the studio location. Time and travel above this will be invoiced accordingly.
PREPARATION: A typical session lasts 1-4 (depending on the requested duration). Only the specified subjects in the initial services request shall be photographed during the session. Please refer to the FAQs for further information on commonly asked questions. As a Client expects the Photographer to be professional, timely, and prepared, the same is expected for the Client.
MODEL RELEASE: The undersigned hereby grants Shade Made Creative, LLC the absolute and irrevocable right and permission, in respect to the photographs, video tapes, motion pictures, recordings, or any other media (hereinafter collectively known as “Images”) that Shade Made Creative, LLC has taken of me or my property, or minors in my care, or in which I may be included with others, to copyright the same, in Shade Made Creative, LLC own name or otherwise, to use, re-use, publish, re-publish, post, display, in printed form, or in any and all media now or hereafter known, and for any legitimate purpose whatsoever. You hereby grant to Shade Made Creative, LLC the right to use and publish images and photographs taken at your photography session to further promote its service, including portfolio, print, web site, display, advertisement, and editorial use. Shade Made Creative, LLC agrees to limit the use of these images and photographs to promotional use only. Shade Made Creative, LLC may revoke this license at any time and for any reason. Shade Made Creative, LLC retains all copyrights to the images and derivative works thereof. Shade Made Creative, LLC agrees to only use first names of baby, and will leave any Social Media "tagging" up to the parents unless requested.
COPYRIGHT AND REPRODUCTION: The client agrees that all copyrights and/or intellectual property rights for all photographs taken at the session shall be held exclusively by Shade Made Creative, LLC. The client will receive images via online gallery, and may print at their discretion as well as purchase professional prints and items from the photographer. The client may also post images online and to social media (i.e. Facebook, Instagram, etc.) but must note Shade Made Photography as the photographer and include a tag where feasible. The client is encouraged to back up their images upon receiving them. Your purchase of the original files releases Shade Made Creative, LLC from any liability due to loss or damage of the images, and also releases Shade Made Creative, LLC from any obligation to maintain copies of any digital file, image, or photograph. The client may not sell, distribute or take credit for any of the photos taken by Shade Made Creative, LLC. Shade Made Creative, LLC highly recommends that images be printed through a professional printing lab. If a client prefers to print through a low quality printer, Shade Made Creative, LLC is not responsible for the client being displeased with those printed products.
WAIVER OF LIABILITY RELEASE: By agreeing to a photography session with Shade Made Creative, LLC, I am hereby waiving, releasing, and discharging Shade Made Creative, LLC and all its affiliates, from any and all liability, including but not limited to, liability arising from the negligence or fault of the entities or persons released, for death, disability, personal injury, property damage, property theft, or actions of any kind which may hereafter occur to me or my family including my traveling to and from this event. Shade Made Creative, LLC is not responsible for any injuries inflicted upon any participating parties. Client(s) will be responsible for their children and for themselves and release the Photographer from any claims against their person or their business. Client swears that each person is participating voluntarily in the said photography session and forfeits all right to bring a suit against Shade Olowookere or Shade Made Photography & Creative Studios for any reason. This agreement is not to be construed as an employment agreement in any way. The Photographer functions as an independent contractor. Shade Made Creative, LLC is not responsible for uncooperative parties. It is understood that the behavior of children is unpredictable, however, the Photographer is not liable if children do not cooperate during sessions.
CONFIRMATION: If terms as stated above are agreed upon with unprocessed payment, a session will not be acknowledge as confirmed and scheduled. I, the client understand indication of marked agreement and/or signature constitutes an order of photography. There are no oral or other agreements of the parties hereto and this contract constitutes full and complete understanding and agreement between the Client representing all persons involved and the Photographer.
